Terms of Service

These Terms of Service ("Terms") govern your access to and use of ArcPay SG ("ArcPay", "we", "us"), an invoicing and accounts automation platform operated by ArcPay Pte Ltd, Singapore. By creating an account or using the Service you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and authorised to bind a business entity to use ArcPay. By signing up you represent and warrant that you meet these requirements.
2. Your Account
You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us immediately at info@arcpaysg.com of any unauthorised use.
3. Subscription & Free Trial
New accounts include a 14-day free trial with no credit card required. After the trial, continued use may require a paid subscription. Pricing and billing terms will be disclosed in advance and may be updated with 30 days' notice.
4. Acceptable Use
You agree not to:
- Use the Service for unlawful, fraudulent, or harmful purposes.
- Send invoices to recipients who have not consented to receive them, or violate Singapore's Spam Control Act.
- Attempt to reverse engineer, scrape, or disrupt the Service.
- Resell or sublicense the Service without our written permission.
- Upload malware, viruses, or any content that infringes intellectual property rights.
5. Your Content
You retain ownership of all invoice, customer, financial, and bank statement data you input. You grant us a limited licence to process this data solely to provide the Service. You are responsible for ensuring you have the right to upload and process this data.
6. AI Features
ArcPay includes AI-powered features (categorisation, anomaly detection, fraud checks, payment recommendations, tax optimisation). AI outputs are suggestions and should be reviewed by you. We do not guarantee accuracy and are not liable for decisions made based on AI output. AI processing is performed by Anthropic under our enterprise agreement; your data is not used to train AI models.
7. Bank Statement Import
ArcPay's Bank Ledger feature allows you to upload PDF bank statements for bookkeeping purposes. By using this feature you confirm that:
- You are the authorised account holder or have explicit written authorisation from the account holder to upload and process the bank statement.
- You will not upload bank statements belonging to third parties without authorisation.
- You understand that ArcPay is an accounting tool and not a financial institution, payment service provider, account aggregator, or money service operator. We do not hold, transfer, or intermediate funds.
- AI-generated transaction categories are suggestions for bookkeeping purposes only and must be reviewed by you or your accountant. ArcPay is not liable for accounting errors arising from incorrect AI categorisation.
- You are responsible for the accuracy of your financial records and any reports submitted to IRAS, ACRA, or other Singapore authorities based on data processed through ArcPay.
ArcPay does not require and you must not provide banking login credentials, PINs, OTPs, or full account numbers. If you are asked for these, do not proceed and report it to us immediately at info@arcpaysg.com.
8. Tax & Accounting Disclaimer
ArcPay provides tools to help you manage invoices and GST. We are not a registered tax agent or accountant. The Service does not constitute tax, legal, or accounting advice. You are responsible for the accuracy of your filings with IRAS and other authorities.
9. Third-Party Integrations
ArcPay integrates with third-party services including Xero, Resend, PayNow, and others. Your use of those services is governed by their own terms. We are not responsible for the availability or performance of third-party services.
10. Service Availability
We strive for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance and will provide notice where reasonably possible.
11. Termination
You may terminate your account at any time from Settings. We may suspend or terminate your account if you breach these Terms, fail to pay, or pose a security or legal risk. On termination, your access ends and your data will be deleted within 30 days, subject to legal retention requirements.
12. Limitation of Liability
To the maximum extent permitted by law, ArcPay's total liability arising from your use of the Service is limited to the fees you paid us in the 12 months preceding the claim, or SGD 100, whichever is greater. We are not liable for indirect, incidental, or consequential damages, including loss of profits, data, or goodwill.
13. Indemnity
You agree to indemnify and hold ArcPay harmless against claims arising from your misuse of the Service, breach of these Terms, or violation of any third-party rights.
14. Governing Law
These Terms are governed by the laws of Singapore. Any dispute will be resolved in the courts of Singapore.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified by email or in-app at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
